Welcome to Madre Fertility LLC ("Madre," "Madre Fertility," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our websites, applications, and related services, including https://www.madrefertility.com and any subdomains, mobile experiences, or product interfaces we provide (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Medical Disclaimer

You must be at least 18 years old to use the Services.

Madre provides educational information and tools that may help you understand fertility-related topics. The Services do not provide medical advice, diagnosis, or treatment and are not a substitute for professional care. Always seek the advice of a qualified healthcare provider for medical questions and decisions. If you think you may have a medical emergency, call emergency services immediately.

2. Accounts and Security

Some features require creating an account. You agree to provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

We may require identity verification (including one-time passcodes) to protect you and the Services.

3. SMS/Text Messaging (OTP and Appointment Messages)

If you provide a phone number, you agree that we may send you:

  • one-time passcodes (OTP) to verify your identity, and
  • appointment-related texts (e.g., confirmations, reminders, and updates), if you book an appointment through the Services or with our team.

Message and data rates may apply. Message frequency varies. You can opt out of appointment-related texts by replying STOP. Reply HELP for help. (OTP messages may be required to access or secure your account; if you opt out of all texts, some features may not work.)

4. Appointments and Communications

If you schedule an appointment through the Services, you agree that we may contact you by email, phone, or text about that appointment (including confirmations, reminders, changes, and follow-ups). You are responsible for providing accurate contact information.

5. Purchases, Subscriptions, and Billing

Some Services may be offered for a fee, including subscriptions or one-time purchases. Pricing, billing frequency, and cancellation terms will be disclosed at checkout or within the applicable order flow.

You authorize us (and our payment processors) to charge your selected payment method for purchases, including recurring charges if you enroll in a subscription. You are responsible for any taxes or other charges that may apply.

[UK] Right to Cancel (UK Consumer Contracts Regulations 2013): If you are a consumer in the United Kingdom, you have the right to cancel a purchase of digital services within 14 days of the date of purchase (the "cooling-off period"), without giving any reason, unless you have already begun using the digital content and have expressly agreed to waive your right to cancel. To exercise your right to cancel, contact us at support@madrefertility.com before the 14-day period expires. If you cancel within the cooling-off period and services have not begun, you will receive a full refund within 14 days.

6. Acceptable Use

You agree not to:

  • use the Services for unlawful, harmful, or fraudulent purposes;
  • attempt to interfere with or disrupt the Services (including security testing without permission);
  • reverse engineer, copy, scrape, or attempt to extract source code or proprietary logic (except where permitted by applicable law);
  • upload or transmit malicious code;
  • impersonate another person or misrepresent your identity.

We may suspend or terminate access if we believe you violated these Terms.

7. Intellectual Property

The Services and all content, features, and functionality (including text, graphics, logos, designs, interfaces, and software) are owned by Madre or our licensors and are protected by intellectual property laws.

You may use the Services only as permitted under these Terms. No rights are granted to you except as expressly stated.

8. Third-Party Services and Links

The Services may integrate with or link to third-party services (e.g., scheduling tools, payment processors, messaging providers). We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms.

9. Privacy

Your use of the Services is subject to our Privacy Policy. Please review it to understand how we collect, use, and share information.

10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the Services will be uninterrupted, secure, or error-free.

[UK] Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable UK law, including the Consumer Rights Act 2015.

11. Limitation of Liability

To the fullest extent permitted by law, Madre will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the Services.

In all cases, Madre's total liability for any claim related to the Services will not exceed the amount you paid to Madre for the Services in the 12 months before the event giving rise to the claim (or $100 if you have not paid anything), whichever is greater.

[UK] The limitation of liability in this section does not apply to the exclusions set out in Section 10 above. UK consumers retain all statutory rights under the Consumer Rights Act 2015 that cannot be waived by contract.

[CA] Canadian users retain all rights under applicable provincial consumer protection legislation. Nothing in these Terms limits liability to the extent prohibited by applicable Canadian federal or provincial law, including the Consumer Protection Act (Ontario), the Business Practices and Consumer Protection Act (British Columbia), or equivalent provincial statutes.

12. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Madre Fertility LLC and its officers, directors, employees, contractors, and agents (the "Madre Parties") from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your misuse of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party, including intellectual property or privacy rights; or (d) content or information you submit or transmit through the Services.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case you agree to cooperate with our defense of that claim. You will not settle any claim in a manner that imposes any obligation or liability on the Madre Parties without our prior written consent.

[UK] If you are a consumer in the United Kingdom, this Section applies only to the extent permitted by law and does not limit or affect your statutory rights. As a consumer, you are responsible only for losses that are a reasonably foreseeable result of your breach of these Terms, and nothing in this Section requires you to indemnify us beyond what is permitted under the Consumer Rights Act 2015 or other applicable UK consumer protection legislation.

[CA] If you are a consumer resident in Canada, nothing in this Section limits or waives any non-waivable rights or protections you have under applicable provincial or federal consumer protection law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time if we believe you violated these Terms or if we need to protect the Services, users, or our operations.

14. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted. If changes are material, we may provide additional notice (for example, via the Services or email). Your continued use after changes become effective means you accept the updated Terms.

[UK] If you are a UK consumer and we make a material change to these Terms that adversely affects you, we will give you reasonable notice and the opportunity to end your contract before the change takes effect.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict of laws rules.

[CA] Notwithstanding the foregoing, if you are a consumer resident in Canada, you also benefit from any mandatory provisions of the law of your province or territory of residence, and nothing in these Terms limits any rights you may have under applicable Canadian federal or provincial consumer protection laws. Any dispute arising in Canada may be subject to the jurisdiction of applicable Canadian courts.

[UK] Notwithstanding the foregoing, if you are a consumer resident in the United Kingdom, these Terms do not affect your statutory rights under English law. You may bring proceedings in the courts of England and Wales (or, if you live in Scotland or Northern Ireland, in the courts of those jurisdictions). The Consumer Rights Act 2015 and other applicable UK consumer protection legislation apply to your use of the Services.
